The most important point. Asha Health is an AI-powered decision-support tool. It helps you evaluate an existing physician recommendation and returns guidance about whether to proceed or seek a human specialty second opinion. Asha is not a doctor, hospital, clinic, or licensed medical practitioner. Asha does not diagnose, prescribe, treat, or replace your treating physician. Always discuss care decisions with a qualified physician. If this is an emergency, contact local emergency services immediately.

1. Acceptance of Terms

By creating an account, accessing the Asha Health website, or using the Asha Health application or related services (together, the “Service”), you agree to these Terms of Service (“Terms”).

If you do not agree, do not use the Service.

These Terms apply to:

  • https://ashahealth.co and related marketing pages
  • https://app.ashahealth.co and any Asha Health web app
  • Mobile or other clients we operate under the Asha Health brand
  • Legacy surfaces still branded or hosted at withasha.com / api.withasha.com until fully retired

Use during pre-launch, private beta, paid pilot, or TestFlight-style access is still subject to these Terms.

2. Who we are

Public brand: Asha Health

Operator (interim): Nishkaam Mehta / the Asha Health team, pending formation and designation of a formal legal entity.

Intended entity: a US LLC under consideration as Futureworks Ventures, LLC. Until formation and assignment are complete, rights and obligations under these Terms sit with the interim operator above.

3. Eligibility

You must be 18 years of age or older to create an account or use the Service.

If you use the Service on behalf of another adult (for example, a parent or relative), you represent that you have their authority to share their information and to receive guidance about their case.

If you use the Service regarding a child, you must be the child’s parent or legal guardian and act only in that capacity. We do not knowingly allow children under 18 to create accounts or use the Service directly.

You must have capacity to enter a binding contract and must not be barred from using the Service under applicable law.

4. What Asha is

Asha Health provides medical second-opinion decision support:

  1. You describe a treating physician’s recommendation (and related history) to Alex, an AI clinician surface.
  2. A multi-specialty AI panel (approximately twelve specialty AI agents) reviews the case in parallel.
  3. Where agents disagree, they may debate. A Chair agent synthesizes a single verdict.
  4. You receive one of:
  • Proceed — the existing recommendation appears reasonable to move forward with, subject to discussion with your real doctor; or
  • Seek a second opinion from specialty X — the case warrants a human specialist second opinion in a named specialty.
  1. Output includes confidence, reasoning, and questions you can bring to a real doctor.

Asha is decision support on top of care you already have. It is not itself a clinical second opinion from a licensed physician.

5. What Asha is not

  • Not a doctor, hospital, clinic, or licensed medical practitioner
  • Not a diagnosis service
  • Not a prescription or medication-ordering service
  • Not a treatment plan or care-management service
  • Not a substitute for your treating physician
  • Not emergency care, triage, or urgent care
  • Not insurance, claims, or benefits administration
  • Not a guarantee of any medical outcome

The AI panel agents are not Registered Medical Practitioners and must not be treated as such.

6. Clinical and safety rules you accept

You understand and agree that:

  1. Human clinicians remain in charge. Diagnosis, prescribing, and treatment decisions belong to qualified clinicians and to you.
  2. Outputs can be wrong. AI systems can omit context, misread incomplete information, or produce incorrect or incomplete guidance.
  3. You must not rely on Asha alone for high-stakes medical decisions.
  4. Emergencies: if you believe anyone is experiencing a medical emergency, contact local emergency services immediately. Do not use Asha.
  5. Accuracy depends on you. We cannot independently verify what you type, upload, or say. Incomplete or inaccurate inputs can produce poor outputs.
  6. Family / diaspora use. If you coordinate care for someone else, you remain responsible for how information is shared and how guidance is used with the patient’s real clinicians.

7. Accounts and security

You must provide accurate account information and keep credentials confidential. You are responsible for activity under your account unless you notify us of unauthorized use promptly.

We may require email verification or other authentication steps. We may suspend or terminate accounts that appear compromised, abusive, or in violation of these Terms.

8. Acceptable use

You agree not to:

  • Use the Service to obtain a diagnosis, prescription, or emergency care
  • Upload or share content you do not have the right to share
  • Attempt to reverse engineer, scrape, overload, or disrupt the Service
  • Misrepresent Asha outputs as a licensed clinician’s opinion
  • Use the Service to provide regulated clinical services to third parties without lawful authority
  • Harass, abuse, or attempt to extract other users’ data
  • Violate applicable law, including health, privacy, export, and consumer laws

9. Your content and license

You retain rights in the case descriptions, records, and other content you submit (“User Content”).

You grant Asha Health a limited, worldwide, non-exclusive license to host, process, transmit, and display User Content solely to:

  • operate and secure the Service
  • generate AI panel and Chair outputs for you
  • provide support and grievance handling
  • improve the Service using de-identified or aggregated signals where described in the Privacy Notice
  • comply with law

We do not claim ownership of your medical records or case narrative.

10. AI processing and third-party infrastructure

To operate the Service we use subprocessors such as cloud hosting, databases, authentication, AI model providers, email, error monitoring, and (where enabled) voice/avatar providers.

Health-related text may be processed by AI model providers after technical safeguards (for example redaction where implemented). Voice audio, when offered, may be processed in-session by a voice provider and is not intended to be retained as a permanent recording on Asha systems.

Details are in the Privacy Notice. Vendor names may be disclosed to regulators or counsel on request even when not listed publicly for security posture reasons.

11. Fees, pilots, and refunds (TBD packaging)

Near-term packaging may include per-case fees, membership/subscription, or private pilots. Exact prices, taxes, what is included per case, and refund rules are disclosed at checkout or in a separate order/pilot confirmation when offered.

Unless a specific paid offer states otherwise:

  • fees are charged when you purchase
  • digital decision-support output is generally non-returnable once a case has been processed
  • nothing in these Terms limits non-waivable consumer rights

Open item: founder must lock refund language before public paid launch.

12. Beta and early-access obligations

If you access a private beta, pilot, or pre-public build:

  • the Service may be unstable, incomplete, or change without notice
  • features may be withdrawn
  • you must not publicly disclose non-public product details, internal prompts, unreleased UI, or other confidential materials without our written permission, except to your own clinicians or legal advisors as needed for your care or rights
  • feedback you provide may be used to improve the Service without obligation to you

13. Intellectual property

The Service, including software, prompts, AI persona design (including “Alex”), panel design, branding, and documentation (excluding your User Content), is owned by the interim operator or its licensors and, after assignment, by the designated Asha Health operating entity.

These Terms grant a limited, revocable, non-transferable, non-exclusive right to use the Service for personal or family care-coordination purposes. No other license is granted.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

We disclaim all warranties, express or implied, including merchantability, fitness for a particular medical purpose, non-infringement, and uninterrupted or error-free operation.

We do not warrant that outputs are accurate, complete, current, or appropriate for any person or condition.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for care decisions you or any clinician make.
  • We are not liable for harm arising from inaccurate or incomplete User Content.
  • We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, data, or goodwill.
  • Our aggregate liability for claims relating to the Service is limited to the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim, or (b) if you paid nothing, ₹1,000 (or the equivalent local currency amount we publish for the applicable storefront).

Nothing in these Terms excludes liability that cannot be excluded under applicable consumer-protection law (including India’s Consumer Protection Act, 2019, where it applies).

16. Indemnity (user-side)

To the extent permitted by law, you will defend and indemnify the operator and its personnel against claims arising from: (a) your misuse of the Service; (b) User Content you lacked rights to share; or (c) your violation of these Terms or law — except to the extent caused by our willful misconduct.

17. Privacy

Use of the Service is also governed by our Privacy Notice. If there is a conflict about personal data handling, the Privacy Notice controls for that subject; these Terms control for contract terms.

18. Suspension and termination

You may stop using the Service and request account deletion at any time (see Privacy Notice).

We may suspend or terminate access for violations of these Terms, legal risk, non-payment, security incidents, or discontinuation of the Service. Where practicable we will provide reasonable notice.

19. Grievance redressal

For data or Terms-related grievances, contact the designated Grievance Officer listed on the Grievance Officer page. We aim to acknowledge within 24 hours and respond within timelines required by applicable rules.

20. Governing law and disputes

These Terms are governed by the laws of India. Courts in Bengaluru, Karnataka, India have exclusive jurisdiction, subject to any non-waivable rights you have in your place of residence.

21. Changes

We may update these Terms. Material changes will be communicated by email or in-product notice where reasonable. The “Last updated” date will change. Continued use after the effective date constitutes acceptance, except where law requires additional consent.

22. Miscellaneous

  • If a provision is unenforceable, the remainder stays in effect.
  • Failure to enforce a provision is not a waiver.
  • You may not assign these Terms without our consent; we may assign them in connection with a reorganization, entity formation, or sale.
  • These Terms are the entire agreement regarding the Service, superseding prior terms for the same subject (including older “Asha” / withasha.com drafts), except separate pilot or enterprise agreements if signed.
  • Section headings are for convenience only.
